Guillermo Pineda – Chairman FlatStone Group

Mr. Pineda was formerly the Energy Lead Partner for PwC Mexico (Retired 2017), bringing over 40 years of experience in the Audit for Energy and other industrial sectors with a focus on Oil & Gas projects across Mexico & LatAm. As the Head of the Corporate Governance for the FlatStone Capital Partners Ltd. Mr Pineda is responsible for providing strategic overview and guidance to corporate best practices for FCA projects & clients. Mr. Pineda successful career in the audit & consulting includes the audit of the Mexican National Oil Company PEMEX (E&P), Power producers across Mexico & the LatAm. Among his success he led the Energy Reform process supporting the Mexican Government regulators, before that he led the regulated sectors audit for the Telecom, Media & Auto Sector for Fortune 500 operations in Mexico & LatAm. Mr. Pineda is an non-executive member of the Investment Selection Committee at FCA he currently serves as the treasurer for COMENER and is the head of the Energy Sector Committee at IMEF. Guillermo is a citizen of Mexico and lives with his family in Mexico DF. Mr. Pineda holds a B.A. in Accounting from UIA in Mexico City.

Eduardo Rodriguez Jr. –Ā  Managing Partner & President of FlatStone Group

Eduardo has overĀ 20 years of experience in business from a number of management consulting, investment management, and investment banking roles Ā in Canada, with a significant focus on Latin America. Before founding FCA, Eduardo was VP of Global Energy Markets at a boutique investment bank in Canada. Prior thereto he worked previously for: RBC Dominion Securities (NYSE: RY) and TD Securities (NYSE:TD). Mr. Rodriguez is regarded as an expert on the subject of investment in Latin America, contributing regularly to leading publications on Latin American investment and Mexican Energy Reform. Eduardo’s energy and resource advisory expertise includes: deal origination and financing, IPOs, special purpose entities, deal structuring and takeover strategies among other value added solutions, through ECM and DCM on the public and private capital markets, as well as consulting on local Geopolitical and security considerations for investors in Latin American jurisdictions. Mr. Rodriguez is an executive member of the Investment Selection Committee at FCA. Eduardo is a dual citizen of Canada and Mexico. He holds a Bachelor of Business Administration from Universidad Ibero-Americana in Mexico, City.

Gerardo Bazan . – Senior Managing Consultant & SVPĀ  FlatStone Energy Group

Gerardo Bazan is a Senior Consultant with FlatStone Capital Advisors as well as a Non-Executive member of the investment committee. Prior to joining the FlatStone, Gerardo Chief of Advisors and Director of Energy Information at the Mexican Ministry of Energy where he was instrumental in designing the roadmap towards the privatization of the energy and infrastructure sector. Gerardo provides direction to the FEP team across several areas related to Mexican market penetration, including target identification, risk mapping, government lobbying, licensing, deal and permit negotiation, regulatory affairs functions and transaction advisory. Gerardo has twenty years of hands-on experience in strategic planning, business development and project management in the Mexican energy industry. Mr Bazan professional career includes the Executive Advisor role to four consecutive PEMEX CEO’s in core strategic areas including upstream, refining, natural gas and power generation. Gerardo holds a Bachelor of Engineering in Electronics from the ITESM, a Masters in Engineering and Project Management from the University of Birmingham and a Masters in Economics and Finance from the University of Manchester.

Mark Friesen, Senior Financial Consultant Energy Finance

Mark Friesen is a Senior Consultant with FlatStone Capital Advisors and a non-executive member of the investment committee for FCP. Prior to joining FCA, Mark has worked in equity research for 19 years, having covered both the Canadian and U.S. Energy sectors. Most recently, Mark held the position of Director, Global Energy Research at RBC Capital Markets in Calgary. Mark provides strategic direction to FlatStone Capital advisors mandates across several areas including corporate finance, capital markets and transaction advisory. Mark’s career includes senior roles with industry leaders such as RBC Capital Markets, TD Securities, FirstEnergy Capital and BMO Nesbitt Burns. His experience covers capital markets and investment selection as well as advisory and analysis on IPO’s, M&A and secondary issuances. Mark started his career as an Oil & Gas research analyst for BMO Nesbitt Burns in Calgary. Mark holds a Bachelor of Commerce in Finance from the University of Manitoba, he is a CFA Charterholder and is a member of Calgary CFA Society. Mark is currently taking the masters level Certified Expert in Climate and Renewable Energy Finance certificate program from the Frankfurt School of Finance and Management.

Jonathan Brathwaite, LLB. – Director Barbados Legal Counsel FlatStone Group

Jonathan is a Founding partner with FlatStone Energy Partners. Prior to joining the FlatStone, Mr. Brathwaite was a Director of Global Tax Structuring Group in Barbados, overviewing the set-up of Wealth Management offerings. Jonathan is the Chairman of IFA Barbados and provides guidance to FCA across areas related to corporate and tax structuring, special purpose vehicle and transactions. Mr. Brathwaite is seasoned international tax lawyer specializing in cross border tax advisory for international businesses, investment funds and Institutional clients providing specialized services in cross border corporate, trust and captive insurance solutions. Jonathan international experience is focused on delivering complex tax solutions and advisory for wealth management teams servicing HNW and Institutional Investors. Jonathan is the former Chairman of a working group, rewriting the Barbados Mutual Fund legislation and contributing to the future launch of the Barbados International Stock Exchange. Jonathan has an LLB from University of Wolverhampton and an MSc Mathematical Finance from University of London, Imperial College.

Norman MacKenzie –  Member of the Advisory Board

Mr. Mackenzie was formerly the Chairman of C&C Energy Canada (Now Pacific Rubiales). bringing over 40 years of experience in leading Oil & Gas projects around the world. As the Head of the Advisory Board at FlatStone Energy Partners Ltd. Norman is responsible for providing strategic overview and guidance to E&P projects across the LatAm for FCA. Mr. Mackenzie successful career in the upstream includes founding and management roles at several E&P companies across the MENA and LatAm. Among his successes are Scimitar Hydrocarbons Ltd, he founded and he served as Chairman from 1990 to 1995 and as a director until the company merged with Rally Energy Ltd in 2002. Mr. Mackenzie founded and served as director of C&C Energy Canada Ltd. from its inception in 2005 to the closing of the IPO in 2010 and from the IPO in 2010 to 2012 as director of C&C Energia Ltd. C&C Energy Canada Ltd. acquired in 2012 by Pacific Rubiales (TSE:PRE ) for USD$500 million. Mr. Mackenzie is an non-executive member of the Investment Selection Committee at FCA. Norman is a citizen of Canada and lives with his family in Calgary. Norman holds a B.A. in Economics and Law from The University of Cape Town in South Africa in 1969.

Serge Lacroix. – Independent Member Advisory Board Member

Serge is a founding partner of Laja Capital Inc. (Canada) the first FlatStone project. Currently principal at Transaction Excel he serves asĀ  non-executive member of the investment committee. Prior to TE he was North American Manager for CMC Markets (Canada and USA). Serge provides direction to the FCA investment committee in areas related to Capital Markets project funding, syndication and financing for transactions. Serge Investment Banking career includes senior management roles in New York, London and Toronto with the top financial institutions in Canada. His last post was as a general manager for the Capital Markets operations at National Bank Canada in Toronto. His experience includes leading capital markets operation for European and North American Equity and debt financing, fixed income and derivatives structuring among other advisory, syndication and transactions operations around world. Serge started his career at the trading desk of CIBC Wood Gundy in Montreal now CIBC Capital Markets. Serge holds a Degree in Finance from the HEC, Montreal.Ā  Serge is a citizen of Canada where he with his family, he is fluent in French and English.

Danniela Stojkovic . – AVP Client Services, PrivateBanx FCA

As an original team member of FlatStone Energy Inc. and Associate Vice-President for PrivateBanx FEP, Danniela is responsible for the coordination of Client Services, serving the HNW and Institutional platforms. Over her 20 year career, Danniela has held a number of supervisory and management roles for leading brands in high end marketing, retail and wealth management. Before FEP Danniela was VP of Marketing and Clients Services at PrivateBanx a wealth management boutique in Canada catering to Cross-border Canada-US HNW clientele.Ā  Having worked previously for Lindt & Sprungli, Marcus Evans, Merrill Lynch and Bank Vontobel AG. Mrs. Stojkovic is an expert in promotional events for the wealth management and film industries. Mrs. Stojkovic is a dual citizen of Canada and Croatia living in Vancouver with her husband and family. She holds a certificate in Dental Assistance and Business Administration from Vancouver Community College. Danniela is fluent in English, Serbo-croatian and basic Spanish.
